1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User") and ORIAGON LLC ("Company," "we," "us," or "our"), a Wyoming limited liability company, governing your use of the LogosLive desktop application and related services ("Service").

By downloading, installing, or using LogosLive, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Description of Service

LogosLive is an accessibility and language inclusion tool for Windows that provides real-time translation and interpretation assistance for video calls. The Service includes, depending on your subscription tier:

LogosLive operates locally on your computer. It does not join, record, or interact with your video call platform. It captures audio from your system's audio output (loopback) in the same manner as your headphones or speakers.

3. User Responsibility: Recording Consent and Notification

THIS IS THE MOST IMPORTANT SECTION OF THESE TERMS.

3.1 Your Obligation to Notify

LogosLive captures and processes audio from your meetings in real time. In many jurisdictions, it is illegal to record, transcribe, or intercept communications without the consent of all parties involved.

You are solely and entirely responsible for:

We strongly recommend informing participants at the beginning of each meeting:

"I'm using an AI-powered live translation assistant to help me follow this conversation in [language]. It processes audio in real time for translation purposes only and does not record or store anything."

3.3 First Use Acknowledgment

Upon first launch, LogosLive requires you to acknowledge your responsibility to obtain participant consent. The application will not function until this acknowledgment is completed.

3.4 Company Disclaimer

ORIAGON LLC does not assume any responsibility for your failure to obtain consent. LogosLive is a tool. Like a screen recorder or voice memo app, the legality of its use depends entirely on how and where you use it.

5. Corporate and Workplace Use

5.1 Employer Policies

If you use LogosLive on a company device or during work meetings, you are responsible for verifying that your employer permits third-party audio processing tools.

5.2 Confidential Information

LogosLive sends audio fragments and text to third-party cloud services (Groq, Deepgram, Google Cloud) for real-time processing. Ensure compliance with all applicable regulations if your meetings involve confidential information.

Unused hours do not roll over. Usage resets on each billing renewal date. Additional hours may be purchased at any time at per-hour rates. Recharges are non-refundable and do not roll over.

7. License Key and Account

Each license key is authorized for use on one (1) device at a time. You may transfer it by deactivating on the current device first. You may not share, sell, or distribute your license key, use it on multiple devices simultaneously, reverse-engineer the application, or circumvent usage tracking.

8. Third-Party Services

LogosLive depends on third-party cloud services (Groq, Deepgram, Google Cloud) that have their own terms and may experience outages outside our control. If misuse by users causes API suspension, we reserve the right to terminate responsible accounts.

9. Cancellation and Refunds

You may cancel your subscription at any time. Access remains active until the end of the current billing period. No refunds for partial months or purchased hour recharges. For extended service unavailability, contact support@logoslive.app for prorated credit consideration.

10. Intellectual Property

LogosLive is the exclusive property of ORIAGON LLC. Your subscription grants a limited, non-exclusive, non-transferable, revocable license. You retain all rights to your meeting content, transcripts, and exported files. Open source attributions are available in the application.

11. Accuracy Disclaimer

We do not guarantee that translations, transcriptions, or voice synthesis will be error-free. AI models may produce inaccurate or incomplete output. The Service should not be relied upon as the sole source of truth for critical communications, legal proceedings, medical consultations, or financial decisions.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ORIAGON LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND.

13. Indemnification

You agree to indemnify and hold harmless ORIAGON LLC from any claims arising from your use of the Service, failure to obtain consent, violation of these Terms, applicable laws, employer policies, or any third-party claims related to your use.

14. Privacy

Your use of the Service is also governed by our Privacy Policy.

15. Modifications

We may modify these Terms, the Service, or pricing at any time. Material changes will be notified via email at least 30 days before taking effect. Price changes apply to new subscriptions and renewals after the change date.

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Wyoming, United States. Disputes shall be resolved through binding arbitration in Wyoming per the American Arbitration Association rules. You waive any right to participate in a class action lawsuit or class-wide arbitration.
